Rockville Financial Completes Conversion
South Windsor, CT - Rockville Financial Inc. became the holding company of Rockville Bank (MHC) today as the conversion from mutual to stock form of ownership was completed, along with a related public offering. The company sold 17,109,886 common shares in a subscription offering at $10.00 per share, including 276,017 shares to the Rockville Bank employee stock ownership plan. Gross proceeds to Rockville Bank will be approximately $171 million of new capital.
The employee stock ownership plans intends to buy additional common shares in the aftermarket to reach 4.0% of the shares sold in the offering. Keefe Bruyette & Woods Inc. served as selling agent for the offering. The new Rockville Financial holding company now has approximately 29,504,891 shares outstanding.
Hinckley Allen & Snyder LLP served as counsel to the new public company, Rockville Bank and Rockville Financial Inc. (MHC) for the conversion and offering. Silver Freedman & Taff LLP served as counsel for Keefe Bruyette & Woods Inc., while RP Financial LC was independent appraiser for the conversion and offering. |
